Terms of Service

Please read these Terms of Service ("Terms") carefully before using the Zhlooop platform, website, or any related services (collectively, the "Service") operated by Zhlooop ("we," "us," or "our"). By accessing or using the Service — as a homeowner or consumer ("Consumer") or as a local service business ("Business") — you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Definitions

  • Consumer — any individual who uses Zhlooop to submit a service request and get matched with local businesses.
  • Business — any sole proprietor, company, or organization that registers on Zhlooop to receive qualified leads.
  • Lead — a qualified service request submitted by a Consumer that is matched to one or more Businesses.
  • Qualified Lead — a Lead that has passed all four qualification gates (intent, timeline, budget, and location) as determined by Zhlooop's AI scoring system.
  • Outreach Lead — a Lead sent to a Business that has not yet registered on Zhlooop, delivered via a teaser email to claim.
  • Platform — the Zhlooop website, chat interface, business dashboard, and all associated tools and APIs.

2. Eligibility

You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you are 18 or older, have the legal capacity to enter into a binding agreement, and are not prohibited from using the Service under any applicable law. Businesses must be legally authorized to operate in the jurisdictions where they provide services.

3. Consumer Terms

3.1 Service requests

Consumers may submit service requests via the Zhlooop chat interface. Requests must be genuine — submitting false, spam, or test requests is prohibited. Zhlooop reserves the right to reject or remove any request that does not meet minimum quality standards.

3.2 Contact information

You agree to provide accurate contact information when submitting a request. Your name, phone number, and email address are held private until you select a Business, at which point they are shared with that Business for the purpose of following up on your job. You consent to being contacted by that Business regarding your request.

3.3 No guarantee of results

Zhlooop does not guarantee that a Business will respond to your request, that any quoted price will be accepted, or that work will be completed to your satisfaction. Zhlooop is a lead-matching platform — all contracts, pricing, and service agreements are between you and the Business directly.

3.4 Free to use

The Service is free for Consumers. Zhlooop does not charge Consumers for submitting requests or receiving matches.

4. Business Terms

4.1 Account registration

Businesses must create an account to access Consumer contact details, manage leads, and choose a subscription plan. You are responsible for maintaining the security of your account credentials. Zhlooop is not liable for unauthorized access resulting from your failure to secure your account.

4.2 Accurate business information

You agree to provide accurate information about your business, including your service area, categories, and minimum budget thresholds. Providing false information to receive leads outside your actual service area or capabilities is a violation of these Terms and may result in account suspension.

4.3 Lead charges and billing

Businesses are charged only for Qualified Leads — leads that have passed all four qualification gates. Charges apply as follows:

  • Starter plan: Pay-per-lead at $45–$80 per lead depending on category. No monthly fee.
  • Partner Pro plan: $149/month, includes 20 leads per month. Additional leads billed at $38 each (overage).
  • Exclusivity upgrade: Optional add-on per lead ($25–$75 depending on category) ensuring the lead is sent to only one Business.

All charges are processed via Stripe. By providing billing information, you authorize Zhlooop to charge your payment method on the applicable billing schedule. Subscription fees are non-refundable except as provided in Section 4.6.

4.4 48-hour response SLA

Zhlooop operates a 48-hour response window from the time a Lead is delivered. If you do not claim or respond to a Lead within 48 hours, the Lead expires and becomes unavailable. You will not be charged for leads you do not claim before expiry. Zhlooop sends a reminder email approximately 24 hours after initial delivery to help you act in time.

4.5 Lead credit policy

We stand behind the quality of our leads. You may request a credit for a lead if all three of the following are true:

  • The Consumer's contact information (phone or email) was invalid, unreachable, or a duplicate of a lead received in the past 30 days.
  • You attempted to contact the Consumer at least twice within 24 hours of claiming the lead.
  • You submitted the credit request within 72 hours of claiming the lead.

Credits are issued as account credits toward future leads — not cash refunds. Credit requests that do not meet all three criteria will not be honored. Zhlooop's determination on credit eligibility is final.

4.6 Cancellation and refunds

You may cancel your Partner Pro subscription at any time. Cancellation takes effect at the end of the current billing period. No partial-month refunds are issued. Any unused leads from your monthly allocation expire at the end of the billing period and do not roll over.

4.7 Acceptable use of Consumer data

Consumer contact information shared upon claiming a lead may only be used to follow up on the specific job described in that lead. You may not add Consumers to marketing lists, resell their information, or contact them about unrelated services without their express consent. Violation of this section will result in immediate account termination.

5. Prohibited Conduct

You agree not to:

  • Submit fake, spam, or fraudulent service requests or business registrations.
  • Use automated tools, bots, or scrapers to access the Platform.
  • Circumvent, disable, or interfere with any security or access-control features.
  • Attempt to reverse-engineer, copy, or resell any part of the Platform or its data.
  • Impersonate another person, business, or entity.
  • Use the Platform for any purpose that violates applicable law, including spam, harassment, or fraudulent billing.
  • Create multiple accounts for the same business to obtain leads at a lower price.

6. Intellectual Property

The Zhlooop name, logo, website design, software, and all content on the Platform are owned by or licensed to Zhlooop and are protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the Platform for its intended purpose. You may not copy, reproduce, modify, or distribute any part of the Platform without our prior written consent.

7. Third-Party Services

The Platform integrates with third-party services including Clerk (authentication), Stripe (payments), Resend (email), Supabase (database), and PostHog (analytics). Your use of these services is subject to their own terms of service and privacy policies. Zhlooop is not responsible for the acts or omissions of these third parties.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

Zhlooop does not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components. Zhlooop does not vet, endorse, or guarantee the quality, licensing, or workmanship of any Business listed on or matched through the Platform. Consumers engage Businesses at their own risk.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ZHLOOOP AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION.

IN NO EVENT SHALL ZHLOOOP'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO ZHLOOOP IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100 USD.

10. Indemnification

You agree to indemnify, defend, and hold harmless Zhlooop and its affiliates, officers, directors, and employees from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

11. Dispute Resolution

11.1 Informal resolution

Before filing any formal claim, you agree to contact us at support@zhlooop.com and give us 30 days to attempt to resolve the dispute informally.

11.2 Binding arbitration

If informal resolution fails, disputes shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. You agree to waive any right to a jury trial or to participate in a class action lawsuit.

11.3 Exceptions

Either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm pending arbitration.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict-of-law provisions. Any disputes not subject to arbitration shall be brought in the state or federal courts located in Delaware.

13. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date at the top of this page and notify you by email or via a notice on the Platform. Your continued use of the Service after the effective date constitutes your acceptance of the revised Terms.

14. Termination

Zhlooop reserves the right to suspend or terminate your account and access to the Service at any time, with or without notice, for conduct that violates these Terms or is harmful to other users, third parties, or the integrity of the Platform. Upon termination, your right to use the Service immediately ceases. Sections 5, 6, 8, 9, 10, 11, and 12 survive termination.
